Mergers & Acquisitions

Year after year, Oberender’s M&A competence team helps a growing number of companies organize their M&A processes in the healthcare sector and identify opportunities and risks at an early stage.

Mergers & Acquisitions

Buying and selling companies has become an increasingly suitable tool to implement business strategies in recent years – and the healthcare industry is no exception. The public perception of such transactions is often a very critical one. This makes it all the more important to develop a coherent transaction strategy.

Oberender’s M&A team has actively participated in a number of these transactions in recent years and has managed the entire process for our clients – from decision-making and project management to closing.

The economic viability of a transaction is always a product of the price paid for the acquired company and the added value generated for the buyer from the transaction. This is why Oberender’s M&A team not only assesses the current value of the company as part of business valuation, but also examines the synergies in order to increase the future value. Multiples are also used methodically in business valuation and purchase price determination as well as “classic” valuation approaches such as the DCF method, income capitalization and asset value. The final assessment of a company’s value incorporates the extensive experience of our M&A managers gained as competent M&A consultants serving private hospital operators.

One of our core competencies in transaction processes is analyzing the market and competitive environment and the local potential. Based on a sound analysis of key figures, we help our clients focus on the future so that they can get a better and more accurate estimate of the envisaged transaction value. This greatly increases the likelihood that the transaction will be a success.

Commercial DD is often referred to as the “supreme discipline” in the M&A process and provides essential information on the market environment in which a company is active and how it can meet the respective challenges.

In spite of the growing number of mergers and acquisitions in the healthcare sector, often too little attention is paid to the integration of the merging companies. This has to do with the lack of accuracy in data analysis and concepts that are too rough. Lack of assertiveness and professionalism in project management exacerbate the problem. Ultimately, post-merger integration remains the riskiest phase of the transaction process. Oberender assists you in the integration phase, for example in setting up and supporting a project management office, controlling the PMI project portfolio and conceptually designing and managing individual integration projects.

We look forward to hearing from you and exchanging ideas with you!
